Terms of Service

1 ACCEPTANCE OF TERMS

1.1These Terms of Service ("Terms") govern your access to and use of the MileParts website at mileparts.com and related services (the "Service"), operated by [Company Name] ("Company", "we", "us", or "our"). By accessing or using the Service, creating an account, or placing an order, you agree to be bound by these Terms and our Privacy Policy.

1.2If you do not agree to these Terms, do not access or use the Service.

1.3We may revise these Terms at any time by posting an updated version on the Service. Changes are effective upon posting, and your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

1.4These Terms form a business-to-business (B2B) agreement intended for commercial buyers of automotive parts.

2 ELIGIBILITY AND BUSINESS USE

2.1The Service is intended solely for businesses and their authorized representatives purchasing auto parts for commercial purposes, and not for personal, family, or household use.

2.2You must be at least 18 years old and have the authority to enter into these Terms on behalf of your business.

2.3You represent and warrant that all information you provide is accurate and that you are authorized to transact on behalf of the business you represent.

3 ACCOUNTS AND REGISTRATION

3.1Certain features require an account. You agree to provide accurate, current, and complete information and to keep it up to date.

3.2You are responsible for safeguarding your login credentials and for all activity that occurs under your account.

3.3Account approval may be required. We may decline, suspend, or revoke access at our discretion, including where we reasonably believe an account is fraudulent, abusive, or in violation of these Terms.

4 MARKETPLACE NATURE AND ROLE OF THE COMPANY

4.1The Service is an online marketplace for automotive parts. Some items are sold directly by [Company Name]; other items are offered and sold by third-party suppliers and sellers ("Suppliers") through the Service.

4.2For items sold directly by [Company Name], the Company is the seller of record. For items offered by Suppliers, the Company acts as an intermediary that facilitates the transaction, and the Supplier is the seller of record responsible for the product, its description, fulfillment, and any applicable warranties.

4.3Product listings, prices, availability, descriptions, and fitment data may be provided by Suppliers or other third parties and are subject to change without notice.

4.4The Company does not manufacture parts. For Supplier items, the Company does not control and is not responsible for the quality, safety, legality, or accuracy of listings or products.

5 PRODUCT LISTINGS, FITMENT, AND COMPATIBILITY

5.1Auto parts must be matched to the correct vehicle. Part numbers, OE/OEM cross-references, illustrations, and compatibility ("fitment") data are provided for convenience only and may contain errors or omissions.

5.2You are solely responsible for verifying that a part is correct and compatible with your vehicle (for example, by VIN, make/model/year, and OE number) before purchasing and before installation.

5.3References to OEM brands, part numbers, logos, and trademarks are used for identification and compatibility purposes only and do not imply any affiliation with or endorsement by the trademark owner.

5.4Aftermarket parts may differ from original equipment. Unless a listing expressly states that a part is genuine OEM, parts are not represented as OEM.

6 PRICING, AVAILABILITY, AND ORDER ACCEPTANCE

6.1Prices are shown in the applicable currency and may change without notice. Prices may exclude taxes, shipping, surcharges, and refundable core charges.

6.2Although we strive for accuracy, listings may contain pricing or typographical errors. We reserve the right to correct errors and to cancel or refuse any order, including after an order confirmation, where a material error has occurred.

6.3Your submission of an order is an offer to purchase. A binding contract is formed only when we (or the applicable Supplier) accept and confirm the order or ship the item.

6.4Availability is not guaranteed; items may be backordered, substituted with your consent, or discontinued.

7 PAYMENT AND TAXES

7.1You agree to pay all amounts due, including the product price, applicable taxes, shipping, and any core or handling charges.

7.2You represent that you are authorized to use the payment method you provide. Payments are processed by third-party payment processors, and we do not store full payment card numbers.

7.3You are responsible for all applicable sales, use, excise, or similar taxes, and for providing valid tax-exemption documentation where applicable.

8 SHIPPING, DELIVERY, AND RISK OF LOSS

8.1Shipping options, costs, and estimated delivery times are described at checkout and/or on our Delivery page. Delivery estimates are not guaranteed.

8.2Unless otherwise stated, title and risk of loss pass to you upon delivery of the item to the carrier.

8.3Items sold by Suppliers may ship separately and may be subject to the Supplier's own shipping terms and timelines.

9 RETURNS, CORE CHARGES, AND CANCELLATIONS

9.1Returns are governed by our Returns policy, available at /returns-info. Certain items (for example, electrical parts, special orders, and hazardous materials) may be non-returnable.

9.2Certain parts carry a refundable "core charge," which is a deposit on a remanufacturable component. The core deposit is refunded after the used core is returned in acceptable condition.

9.3For items sold by Suppliers, returns, refunds, and exchanges may be handled by the Supplier and may be subject to the Supplier's policies.

9.4Parts that have been installed, used, damaged, or modified may not be eligible for return.

10 WARRANTIES AND DISCLAIMERS

10.1Manufacturer or Supplier warranties (if any) are the warranties that apply to products and are provided by the manufacturer or Supplier, not by the Company, unless [Company Name] is the seller of record and expressly states otherwise in writing.

10.2EXCEPT AS EXPRESSLY PROVIDED, THE SERVICE AND ALL PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10.3We do not warrant that the Service will be uninterrupted, secure, or error-free, or that fitment and listing data are accurate or complete.

10.4Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you; in that case, such exclusions apply to the maximum extent permitted by law.

11 LIMITATION OF LIABILITY

11.1TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE OR ANY PRODUCT.

11.2TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE OR A PRODUCT WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM.

11.3These limitations apply regardless of the theory of liability and even if a remedy fails of its essential purpose.

12 INDEMNIFICATION

12.1You agree to indemnify, defend, and hold harmless the Company, its affiliates, and its Suppliers from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your breach of these Terms, your violation of any law, or your installation or use of any product.

13 INTELLECTUAL PROPERTY

13.1The Service, including its content, catalog data, software, design, text, graphics, and trademarks, is owned by the Company or its licensors and is protected by applicable intellectual property laws.

13.2OEM names, logos, and part numbers are the property of their respective owners and are used for identification and compatibility purposes only.

13.3You may not copy, scrape, reproduce, republish, or create derivative works from the Service without our prior written consent.

14 ACCEPTABLE USE AND PROHIBITED CONDUCT

14.1You agree not to use the Service for any unlawful purpose; interfere with or disrupt the Service; attempt to gain unauthorized access to any system or account; scrape or harvest data; misrepresent fitment or product information to your customers; or resell products in violation of applicable law.

14.2We may investigate suspected violations and take appropriate action, including suspension or termination of access and pursuit of legal remedies.

15 THIRD-PARTY CONTENT AND LINKS

15.1The Service may contain content, listings, or links provided by third parties. We are not responsible for third-party content, products, services, or websites, and your dealings with third parties are solely between you and the third party.

16 DISPUTE RESOLUTION AND GOVERNING LAW

16.1These Terms are governed by the laws of the State of [State], United States, without regard to its conflict-of-laws rules.

16.2Before initiating any formal proceeding, the parties agree to attempt to resolve any dispute informally by contacting [email protected].

16.3Subject to applicable law, the state and federal courts located in [State] will have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Service, and you consent to personal jurisdiction and venue in those courts.

16.4To the extent permitted by law, any claim must be brought within one (1) year after the claim arises.

17 TERMINATION

17.1We may suspend or terminate your access to all or part of the Service at any time, with or without cause and with or without notice.

17.2Provisions that by their nature should survive termination (including disclaimers, limitation of liability, indemnification, and governing law) will survive.

18 CHANGES TO THE SERVICE

18.1We may modify, suspend, or discontinue any part of the Service at any time, without liability to you.

19 MISCELLANEOUS

19.1These Terms, together with the Privacy Policy and any order-specific terms, constitute the entire agreement between you and the Company regarding the Service.

19.2If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

19.3Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign these Terms without our prior written consent; we may assign them freely.
